History
Over the years AirBoss of America Corp. has grown and evolved its business lines through several amalgamations, acquisitions, joint ventures and internal growth. The Company was initially formed with the amalgamation of Greenstrike Gold Corp. and 846241 Ontario Limited under the name “IATCO Industries Inc.” on October 13, 1989. On April 18, 1994 the name was changed to “AirBoss of America Corp.”
On December 31, 1996, the Corporation, through its subsidiary ITRM Inc., purchased substantially all the assets of International Technical Rubber Manufacturing Inc., a custom rubber mixing business. ITRM Inc. was amalgamated with AirBoss on July 1, 1998. In 2004, a wholly owned subsidiary, AirBoss of America North Carolina Corp. was incorporated to provide rubber mixing capabilities in the US.
A subsidiary, AirBoss of America (Michigan) Corp. was incorporated on June 25, 1995 and in August, 1995, acquired Controlled Rubber Products, Inc., a manufacturer of non-pneumatic tires, rubber and plastic rail pads, as well as molded rubber products for the automotive and transportation industry. Controlled Rubber Products, Inc. was incorporated on June 23, 1964.
AirBoss Railway Products, Inc. was incorporated as a subsidiary of AirBoss of America (Michigan) Corp. on May 11, 1998 to market and distribute railway products. In 1999, AirBoss of America (Michigan) Corp. and Controlled Rubber Products, Inc. were amalgamated to form AirBoss Polymer Products Corp. (“APPC”). In 2005, the Company sold the assets of its non-pneumatic tire business.
629096 Saskatchewan Ltd. (“629096”) is a joint venture company in which AirBoss holds a 50% interest and Ralph McKay Industries Inc. (“RMI”) holds the remaining 50%. Incorporated in June, 1999, the Company manufactures railway fastening clips, which are distributed exclusively by ARP. The joint venture commenced operations in January 2001 and ceased operations in 2005.
On April 22, 1999, 100% of the shares of Acton International Inc. (a manufacturer of protective wear for defense applications, commercial footwear, and rubber industrial parts) of Acton Vale, Quebec were acquired. In 2004, the Company sold the assets of its commercial footwear business and was renamed AirBoss Engineered Products Inc.
